Processes

All processes require a certain amount of individual adaptation. However, generally speaking, the typical cycle would consist of the following steps:

  • Mutual knowledge and pre-agreement.
  • Analysis of the operation and documentation. Confidentiality and services agreement stating fees, exclusive relationship and duration.
  • Analysis of the market of potential buyers/sellers and selection.
  • Negotiations and letter of intent.
  • Business, accounting, tax and legal inquiries and due diligence (on request).
  • Contract and closure of the deal.
  • Monitoring of agreements (on request).

Uma m&a's involvement in the due diligence and subsequent phases will be in accordance with the client's instructions, although a certain minimum level of involvement is stipulated in order to guarantee successful completion of the operation.

In the case of MBI, MBO, BIMBO, mergers (creating a new company or taking over an existing one), spin-offs, and divestitures, the process will be agreed as required by the circumstances of each case.
